Welcome to SoClose. These Terms of Use ("Terms") govern your access to and use of the SoClose mobile application and services ("Service"). By using SoClose, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By downloading, installing, accessing, or using SoClose, you agree to comply with and be bound by these Terms. If you are using SoClose on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SoClose is a mobile application designed to help couples strengthen their relationships through:

• Meaningful questions and conversations
• Shared tasks and goals tracking
• Collections of photos and memories
• Other features as described in the app

3. Eligibility

You must be at least 18 years old to use SoClose. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are in a committed romantic relationship
• You will provide accurate and complete information when creating your account
• You will maintain the security of your account credentials

4. User Accounts

4.1 Account Creation

To use SoClose, you must create an account by providing an email address and password. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activities that occur under your account. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others

4.3 Partner Connection

SoClose requires pairing with a partner to access most features. You are responsible for:

• Sharing invitation codes securely with your partner only
• Ensuring your partner also agrees to these Terms
• Understanding that content shared with your partner is visible to them

5. Subscription and Billing

5.1 Free Trial

We offer a 3-day free trial for new subscribers. During the trial period, you have full access to Premium features. No credit card is required to start your free trial.

5.2 Subscription Plans

After the free trial, you can choose to subscribe to Premium:

• Subscription plans are available in the app
• One subscription provides Premium access to both partners
• Subscriptions automatically renew unless cancelled

5.3 Billing

• Subscriptions are billed through Apple App Store (iOS) or Google Play Store (Android)
• Payment will be charged to your App Store or Play Store account
• Billing occurs at the beginning of each subscription period
• Prices are subject to change with notice

5.4 Cancellation and Refunds

• You can cancel your subscription at any time through your App Store or Play Store account settings
• Cancellation takes effect at the end of the current billing period
• Refunds are handled according to Apple App Store and Google Play Store policies
• We do not provide refunds for partially used subscription periods

6. User Content and Conduct

6.1 Your Content

You retain ownership of all content you create or upload to SoClose ("User Content"). By using the Service, you grant us a license to:

• Store, process, and display your User Content
• Share your User Content with your connected partner
• Use your User Content to provide and improve our Service

6.2 Acceptable Use

You agree not to:

• Use SoClose for any illegal or unauthorized purpose
• Violate any laws or regulations in your jurisdiction
• Infringe on the rights of others
• Upload content that is harmful, offensive, or violates others' privacy
• Attempt to reverse engineer, decompile, or hack the Service
• Interfere with or disrupt the Service or servers
• Create multiple accounts or share accounts with others

6.3 Content Moderation

We reserve the right to:

• Review and remove any User Content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Take legal action against users who violate these Terms

7. Intellectual Property

7.1 Our Rights

SoClose and all its content, features, and functionality (excluding User Content) are owned by SoClose and are protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use SoClose for personal, non-commercial purposes in accordance with these Terms.

8. Privacy

Your use of SoClose is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Service Availability

We strive to provide reliable service but do not guarantee that SoClose will be:

• Available at all times or without interruption
• Free from errors, bugs, or defects
• Secure from unauthorized access or attacks

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service
• Perform maintenance that may temporarily interrupt service
• Update the Service with new features or changes

10. Limitation of Liability

To the maximum extent permitted by law:

• SoClose is provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid for the Service in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless SoClose, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

In the event of any dispute, you agree to:

• First contact us directly to attempt to resolve the dispute
• If resolution is not possible, disputes will be resolved through binding arbitration
• You waive your right to participate in class action lawsuits

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the app or on our website
• Updating the "Last Updated" date
• Sending you a notification if the changes are significant

Your continued use of SoClose after changes are posted constitutes acceptance of the modified Terms.

14. Termination

14.1 By You

You may terminate your account at any time by:

• Deleting your account through the app settings

14.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the Service

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SoClose regarding your use of the Service.
